Terms of Service

MellowLedger runs this website. When we say "we," "us," or "our," that's us. We're offering you access to everything here—all the information, tools, and services—but only if you're cool with all the terms, conditions, policies, and notices laid out below. When you visit or use what we've got here, you're using our Service and agreeing to be bound by these terms and conditions. That includes anything linked to from this page or mentioned in passing. Everyone who uses the site—whether you're just browsing, buying something, part of a team, or running an account—needs to follow these rules. Read through this carefully before you go anywhere or do anything on the site. The second you access any part of it, you're agreeing to this. Don't agree? Then you can't use the site or any of our services. If we're making an offer here, you're accepting only what's written below. Any new features or tools we add later are covered by these same terms. You can always come back to this page to see the current version. We might update, change, or replace parts of this by posting new stuff on the site. It's on you to check back periodically. Keep using or accessing the site after we post changes, and you're accepting them.

SECTION 1 - SERVICE TERMS

By accepting these terms, you're telling us you're old enough to be legally responsible where you live. If you're the age of majority and you have kids using this, you're giving us permission for that. You can't use our service for anything illegal or unauthorized. Don't break any laws in your area—copyright stuff, data protection, you name it. Don't send us malicious code or anything that could break how things work. If you breach these terms or violate them, we're shutting down your access right away.

SECTION 2 - GENERAL CONDITIONS

We can refuse service to anyone, anytime, for any reason. Your content travels across networks and systems. Payment info always gets encrypted when it's moving around. You can't reproduce, duplicate, copy, sell, resell, or exploit any part of the service or anything on this site that makes it work without asking us in writing first. The headings in this agreement are just for convenience and don't actually limit or change what these terms mean.

SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We're not responsible if stuff on here isn't accurate, complete, or up to date. The material here is just general info and shouldn't be your only source for making decisions. Check other sources first. Using what's here is your risk alone. Some of this might be old information. That's intentional and it's just there for reference. We can change what's on the site whenever we want, but we don't have to update anything. You're responsible for keeping track of changes.

SECTION 4 - MODIFICATIONS TO THE SERVICE AND PRICING

Prices can change without warning. We can modify, pause, or stop the Service (or parts of it) whenever we want. We're not liable if we change prices, modify the service, or shut it down.

SECTION 5 - SERVICE OFFERINGS

Some services only exist online here. They're limited in capacity and can change or disappear based on what we decide. We've tried hard to describe what we do and what it costs accurately. Your monitor might not show colors exactly right, though. We can limit who accesses the service, where they're from, or what region they're in. We handle this case by case. We can also cap how much anyone uses or how many times they can use it. Everything we describe about services or pricing can change anytime without telling you first. We might stop offering something whenever. Any offer we make on this site doesn't count if it's illegal where you are. We don't promise that what you buy will be perfect or that we'll fix every problem.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

We can reject orders or service requests. We might limit quantities or usage per person, per organization, or per account—including requests from the same account, same payment method, or same contact info. If we change or cancel an order, we'll try to reach you at the email or phone number you gave us. We also reserve the right to block orders that look like they're coming from robots or resellers. Give us current, accurate, and complete info for every request. Keep your account details up to date, especially your email and payment info with expiration dates. That way we can process things and contact you. Check out our full service terms for the rest of the details.

SECTION 7 - THIRD-PARTY INTEGRATIONS

We might let you use third-party services and integrations that we don't monitor or control. You understand we're providing access to those as-is and as-available with no warranties, guarantees, or endorsements. We're not responsible for anything that goes wrong with them. Using third-party services through here is entirely your choice and your risk. Make sure you know and approve of their terms first. We might add new services or features later, including new integrations and tools. Those will follow these same terms.

SECTION 8 - THIRD-PARTY LINKS

Some content, services, and integrations here might include stuff from other companies. Third-party links might take you to sites that aren't connected to us. We're not checking or guaranteeing what's on those sites, and we're not responsible for them or anything they offer. Don't blame us for anything bad that happens when you use third-party services or websites. Look at their policies carefully before you deal with them. If you have complaints about a third-party service, talk to them directly.

SECTION 9 - USER FEEDBACK AND SUBMISSIONS

If we ask you to send us something, or if you send us ideas, suggestions, plans, or anything else (we'll call it "feedback"), you're saying we can use it however we want. We can edit it, copy it, publish it, translate it, you name it. We don't owe you anything for it—we don't have to keep it secret, pay you for it, or even respond to it. We might remove content that we think is illegal, offensive, threatening, or otherwise bad. But we don't have to. Your feedback can't violate anyone else's rights. No copyright stuff, no stolen ideas, nothing hateful or illegal. Don't include viruses or anything that messes with the service. Don't pretend to be someone you're not or lie about where the feedback came from. You're responsible for what you send us and if it's true. We're not liable for feedback from you or anyone else.

SECTION 10 - PERSONAL INFORMATION

How we handle your personal info is covered in our Privacy Policy at /privacy-policy.

SECTION 11 - ERRORS, INACCURACIES AND OMISSIONS

The site or service might have typos, mistakes, or missing info about what we offer, what it costs, or if it's available. We can fix these anytime and update or cancel orders without telling you first, even after you've ordered. We don't have to update anything on here unless the law says we have to. Don't assume that because something says it was updated on a certain date that everything has been changed.

SECTION 12 - PROHIBITED USES

Besides what's already covered, you can't use the site or its content for anything illegal, to get others to do illegal stuff, to break laws where you are, to mess with our rights or anyone else's rights, to harass or discriminate against people based on who they are, to submit false info, to upload viruses or malicious code, to collect personal info about others, to spam or scrape, for obscene purposes, or to hack or bypass security. We can shut down your access if you break these rules.

SECTION 13 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We don't guarantee the service will work all the time, be fast, be secure, or be error-free. We don't promise results you get from the service will be accurate. We might take the service offline for as long as we want or kill it completely without notice. You're using the service at your own risk. It and everything you get through it comes as-is and as-available with no guarantees or conditions, whether we say so directly or imply it. No promises about how well it works, if it'll do what you need, how long it'll last, or that it won't violate anyone's rights. We, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, and licensors are not liable for any injury, loss, or damage—direct, indirect, incidental, punitive, special, or consequential—including lost profits, lost revenue, lost data, replacement costs, or anything similar, whether from breach of contract, negligence, strict liability, or anything else. This covers anything related to using the service or buying products through it, whether we knew it might happen or not. Some places don't let you exclude these kinds of damages, so in those places we're only liable as much as the law allows.

SECTION 14 - INDEMNIFICATION

You agree to cover our costs—including reasonable lawyer fees—if a third party comes after us because you broke these terms, violated a law, or messed with someone's rights. That includes MellowLedger, our parent company, subsidiaries, partners, officers, directors, agents, contractors, suppliers, and employees.

SECTION 15 - SEVERABILITY

If any part of these terms is found to be illegal or unenforceable, we'll enforce as much of it as we can, and the bad part gets removed. The rest still stands.

SECTION 16 - TERMINATION

Whatever obligations or debts existed before we end this agreement stay in effect after it ends. These terms are active until either you or us ends them. You can end it anytime by telling us you don't want to use the service anymore or by stopping. If we think you're not following these terms, we can end it immediately. You still owe us money up to that point, and we can block your access.

SECTION 17 - ENTIRE AGREEMENT

If we don't enforce something in these terms, that doesn't mean we're giving it up. These terms and anything we post about how the service works are the whole agreement between us. They replace anything we said before, whether out loud or in writing. Any confusion about what these terms mean doesn't go against whoever wrote them.

SECTION 18 - GOVERNING LAW

These terms and any service agreements follow the laws of Ontario, Canada.

SECTION 19 - CHANGES TO TERMS OF SERVICE

You can always see the current version of these terms here. We can change any part by posting updates. It's your job to check back. Keep using the site or service after we post changes, and you're accepting them.
